1. Acceptance of These Terms

These Terms of Use (“Terms”) are entered into by and between you (“User” or “you”) and In Good Company Institute, Inc. (“we,” “us,” or “IGC”). These Terms govern your download, access, and use of the May Matters Toolkit, including all templates, worksheets, guides, communications materials, and any related resources made available by IGC in connection with the May Matters initiative (collectively, the “Toolkit”).

The Toolkit is designed for use by leaders in workplaces, congregations, community organizations, associations, and nonprofits to support nonpartisan civic education around elections and civic participation. Your use of the Toolkit is subject to these Terms in their entirety.

Please read these Terms carefully before downloading or using the Toolkit. By downloading, accessing, or using the Toolkit, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Toolkit.

 

2. In Good Company’s  Nonpartisan Mission

May Matters is a statewide, nonpartisan civic education effort helping Georgians feel informed, prepared, and confident participating in the primary elections. May Matters partners with trusted organizations because workplaces, associations, congregations, and community networks remain where people turn for clarity. The Toolkit is designed to allow your organization to meet a real civic education need without advocacy, political risk, or added workload.

In Good Company Institute, Inc. is committed to being strictly nonpartisan and educational in all aspects of its work. IGC does not endorse, support, or oppose any political candidate, political party, ballot measure, or partisan position or cause. This nonpartisan commitment is a core organizational value and is central to IGC’s identity and its relationship with its fiscal sponsor Texas Impact Education Fund, a 501(c)(3) nonprofit organization. Maintaining IGC’s nonpartisan standing is also essential to its eligibility for tax-exempt status under federal law.

The Toolkit has been created solely to advance nonpartisan civic education. All use of the Toolkit must be consistent with this nonpartisan mission. Any use of the Toolkit that creates, or could reasonably create, the appearance that IGC Institute or May Matters endorses, supports, or opposes any candidate, political party, ballot measure, or partisan cause is strictly prohibited and constitutes a material breach of these Terms, regardless of your intent.

 

3. License Grant: Permitted Use

Subject to your full compliance with these Terms, IGC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access, download and use the Toolkit solely for nonpartisan civic education purposes within your organization, congregation, workplace, or community network, consistent with our mission.

This license expressly permits you to use the Toolkit to:

  • Educate members, employees, congregants, or community members about elections and the civic participation process in a strictly nonpartisan manner;

  • Share information about how, when, and where to vote, without advocating for any candidate, party, or partisan position; and

  • Facilitate internal communications and programming that encourage civic participation without endorsing any political outcome.

    This license does not include any right to:

  • Use the Toolkit for any commercial purpose, including selling, licensing, or otherwise monetizing the Toolkit or any portion of it;

  • Use the Toolkit to advance any partisan agenda, candidate campaign, or political party;

  • Incorporate the Toolkit or any portion of it into any paid product, paid course, or other materials you offer to others; or

  • Use the Toolkit in any way not expressly authorized by these Terms.

This license is revocable at any time and for any reason, including if IGC determines, in its sole discretion, that your use poses any risk to its nonpartisan reputation or tax-exempt status under federal law.

 

4. Permitted Sharing

You may share the Toolkit with others within and through your organization, congregation, workplace, or community network, provided that all of the following conditions are met:

  • The Toolkit is shared in its original form as provided by IGC

  • All IGC and May Matters branding, trademarks, logos, copyright notices, and attributions remain intact and visible on every component shared;

  • The Toolkit is shared free of charge. You may not charge any fee, accept any payment, or otherwise receive compensation in connection with sharing the Toolkit;

  • You clearly and prominently credit IGC and May Matters as the source and creator of the Toolkit whenever it is shared;

  • The context, manner, and accompanying text of sharing cannot reasonably be interpreted as implying that IGC, May Matters, or Texas Impact Education Fund endorses, supports, sponsors, or is affiliated with any political candidate, party, ballot measure, partisan cause, organization, or event; and

  • The sharing does not otherwise violate any provision of these Terms.

The fact that sharing is technically permitted under these Terms does not override the nonpartisan requirements of Section 2. Sharing the Toolkit in a partisan context (for example, distributing it at a partisan campaign event, including it in partisan campaign materials, or sharing it in a way that associates it with a candidate or party) is a breach of these Terms even if all other conditions of this Section are met.

 

5. No Modifications; Preservation of Branding

You may not alter, edit, modify, adapt, translate, create derivative works of, or otherwise change the Toolkit or any of its components in any way. Specifically, and without limitation, you must:

  • Preserve all IGC and May Matters names, logos, trademarks, service marks, copyright notices, and branding on every page and component of the Toolkit, exactly as they appear in the original;

  • Not remove, obscure, overwrite, or alter any IGC or March Matters branding, watermark, attribution, or legal notice;

  • Not add your own name, logo, branding, or attribution in a manner that suggests you created or co-created the Toolkit; and

  • Not reformat, redesign, or restyle the Toolkit in any way that removes or diminishes IGC Institute’s or May Matters’ brand identity.

Any use that alters the Toolkit’s content or branding in any way is a material breach of these Terms and will immediately terminate your license.

 

6. Prohibited Partisan and Reputational Uses

Because IGC’s nonpartisan status is fundamental to our mission and legal standing, the following uses are expressly prohibited and each constitutes a material breach of these Terms:

  • Using the Toolkit in connection with any political campaign, candidate fundraiser, partisan voter mobilization effort, or any activity that supports or opposes a candidate for public office;

  • Using the Toolkit in any context (including on websites, in social media posts, in printed materials, or at events) that associates the Toolkit, IGC, or May Matters with any political party, candidate, ballot measure, or partisan cause;

  • Representing, stating, or implying that IGC or May Matters endorses, supports, or is affiliated with any political candidate, political party, ballot measure, elected official, or partisan organization;

  • Using the Toolkit in any way that could reasonably be perceived as IGC or May Matters taking a position on any partisan political issue, even if your own intent is educational;

  • Distributing the Toolkit through any channel, platform, or organization whose primary purpose is partisan political activity; and

  • Any other use that, in IGC’s sole and reasonable judgment, poses a risk to IGC’s or May Matters’ nonpartisan reputation, its relationship with Texas Impact Education Fund, or its tax-exempt status under federal law.

IGC reserves the right to immediately revoke any user’s license upon determining, in its sole discretion, that the user’s use of the Toolkit violates or risks violating any of the prohibitions in this Section, without prior notice and without any obligation of compensation or refund.

 

7. No Endorsement or Affiliation

Whenever you share, distribute, post, or reference the Toolkit, you must do so in a manner that clearly communicates that no endorsement, sponsorship, partnership, or affiliation is created, including by use of a clear non-endorsement disclaimer.

Your access or use of the Toolkit does not constitute, and must not be represented as, an endorsement, sponsorship, partnership, or affiliation of any kind by IGC., May Matters, or Texas Impact Education Fund. This prohibition expressly includes:

  • Political endorsements: you may not use the Toolkit in any way that implies IGC or May Matters supports or opposes your political views, the candidates you support, the causes you advocate for, or the party you are affiliated with;

  • Organizational endorsements: you may not state or imply that IGC or May Matters endorses your organization, your work, your events, or your products or services; and

  • Personal endorsements: you may not represent that IGC or May Matters has reviewed, approved, or vouches for your personal qualifications, credentials, or activities.

Any such representation is a material breach of these Terms and may cause irreparable harm to IGC and May Matters, for which monetary damages may be inadequate. 

 

8. Intellectual Property Rights

The Toolkit and all of its contents (including but not limited to all text, graphics, images, designs, layouts, data, worksheets, templates, and instructional materials) are the exclusive property of IGC or its licensors, and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. The May Matters name, logo, and related branding are proprietary to IGC.

No right, title, or interest in or to the Toolkit or any of its contents is transferred to you by these Terms or by your download or use of the Toolkit. All rights not expressly granted herein are reserved by IGC. Any use of the Toolkit not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other applicable laws.

 

9. Trademarks

IGC’s name, the May Matters name and logo, and all related names, product and service names, designs, and slogans are trademarks of IGC or its affiliates or licensors (collectively, the “IGC Marks”). The IGC Marks may not be copied, imitated, or used, in whole or in part, without the prior written permission of IGC Institute, except as they appear in the Toolkit as originally provided. You may not use any hidden text or metatags utilizing the IGC Marks without prior written permission. Except as required for providing attribution as required here, you may not use the IGC Marks in any headline, advertisement, social media caption, event description, sponsor listing, fundraising appeal, endorsement statement, or promotional material without prior written permission from IGC.

All other names, logos, product and service names, designs, and slogans contained in the Toolkit are the trademarks of their respective owners. Reference to any products, services, processes, or other information by trade name, trademark, manufacturer, or supplier does not constitute or imply endorsement, sponsorship, or recommendation thereof by IGC.

 

10. Additional Prohibited Uses

In addition to the restrictions set forth above, you agree not to use the Toolkit:

•       In any way that violates any applicable federal, state, local, or international law or regulation;

•       To misrepresent the source, origin, or authorship of the Toolkit, or to imply that you created or own the Toolkit or any portion of it;

•       To impersonate or attempt to impersonate IGC, any IGC employee or representative, or any other person or entity;

•       To upload, post, transmit, host, mirror, repost, publicly archive, or otherwise distribute the Toolkit through any platform, website, file-sharing service, social media service, email list, or other channel except as expressly permitted by Section 4 of these Terms or expressly authorized in writing by IGC;

•       For the purpose of training, developing, or improving any artificial intelligence system, machine-learning model, large language model, dataset, or similar technology; or

•       For any purpose that is unlawful, harmful, fraudulent, or otherwise objectionable.

 

11. Feedback and Submissions

If you provide IGC with any feedback, suggestions, ideas, comments, proposed improvements, or other materials related to the Toolkit or IGC’s work (whether by email, survey, or any other means) you acknowledge and agree that such submissions are non-confidential and shall become the sole property of IGC. IGC shall own all intellectual property rights in such submissions and may use them for any purpose, without compensation, acknowledgment, or obligation to you.

 

12. No Support, Updates, or Maintenance Obligation

The Toolkit is provided free of charge. IGC has no obligation to provide any technical support, customer service, maintenance, error corrections, updates, upgrades, or new versions of the Toolkit. IGC may, but is not required to, update or revise the Toolkit at any time and without notice.

 

13. Updates to the Toolkit

IGC may release updated or revised versions of the Toolkit from time to time. These Terms apply to all versions of the Toolkit. Updated versions will supersede prior versions, and IGC encourages you to access the most current version when available. IGC is not responsible for any issues arising from your continued use of an outdated version of the Toolkit.

 

14. Geographic Restrictions

The Toolkit is intended for use only by persons physically located in the United States. IGC makes no representation that the Toolkit or its contents are appropriate or available for use outside the United States. If you access or use the Toolkit from outside the United States, you do so on your own initiative and are solely responsible for compliance with applicable local laws.

 

15. Disclaimer of Warranties

THE TOOLKIT IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IGC. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. IGC DOES NOT REPRESENT OR WARRANT THAT THE TOOLKIT WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE, OR THAT IT WILL MEET YOUR SPECIFIC NEEDS OR EXPECTATIONS. YOUR USE OF THE TOOLKIT IS ENTIRELY AT YOUR OWN RISK.

 

16. Limitation on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT SHALL IGC INSTITUTE, INC., TEXAS IMPACT EDUCATION FUND, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, MEMBERS, EMPLOYEES, VOLUNTEERS, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF OR INABILITY TO USE THE TOOLKIT; AND (B) IN NO EVENT SHALL THE AGGREGATE LIABILITY OF IGC INSTITUTE, INC. OR TEXAS IMPACT EDUCATION FUND, WHETHER IN CONTRACT, WARRANTY, TORT, STRICT LIABILITY, OR OTHER THEORY, ARISING OUT OF OR RELATING TO YOUR USE OF THE TOOLKIT OR THESE TERMS, EXCEED ANY COMPENSATION YOU HAVE PAID TO IGC INSTITUTE FOR ACCESS TO THE TOOLKIT (WHICH, FOR A FREE TOOLKIT, SHALL BE ZERO DOLLARS ($0.00)). BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS OF LIABILITY, OUR LIABILITY IN SUCH STATES OR JURISDICTIONS SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

 

17. Indemnification

You agree to defend, indemnify, and hold harmless IGC, May Matters, Texas Impact Education Fund, and their respective affiliates, officers, directors, members, employees, volunteers, contractors, agents, licensors, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Toolkit in any manner not expressly authorized by these Terms; (c) any use of the Toolkit that creates or risks creating the appearance that IGC or May Matters is partisan or that it endorses any political candidate, party, or cause; or (d) your infringement of any intellectual property or other rights of any third party.

 

18. Term and Termination

These Terms are effective upon your first download or use of the Toolkit and will remain in effect unless and until terminated. IGC may terminate your license and these Terms immediately, without notice, if you breach any provision of these Terms, including but not limited to any use that IGC determines, in its sole discretion, risks associating IGC with partisan activity or harming its nonpartisan reputation or tax-exempt status under federal law. Upon termination, or upon notice from IGC that your use violates these Terms, you must immediately cease all use and distribution of the Toolkit, remove the Toolkit and any related references to it from websites, social media posts, shared drives, event pages, email campaigns, and other public or organizational channels under your control, and permanently delete or destroy all copies in your possession or control. Upon IGC request, you must promptly certify in writing that you have complied with the foregoing obligations.

Sections 8 (Intellectual Property Rights), 9 (Trademarks), 11 (Feedback and Submissions), 15 (Disclaimer of Warranties), 16 (Limitation on Liability), 17 (Indemnification), 21 (Governing Law and Jurisdiction), and 22 (Attorneys’ Fees) shall survive termination of these Terms.

19. Modifications to These Terms

IGC reserves the right to modify these Terms at any time in its sole discretion. Updated Terms will be posted at the location where the Toolkit is made available. Any revised Terms will apply to any download, access, or use of the Toolkit occurring after the revised Terms are posted. It is your responsibility to review these Terms periodically.

 

20. Reputational Harm; Right to Injunctive Relief

You acknowledge that any use of the Toolkit that violates Sections 2, 4, 6, or 7 of these Terms (including any use that creates or risks creating the appearance that IGC or May Matters is partisan) may cause immediate and irreparable harm to IGC and May Matters for which monetary damages would be an inadequate remedy. Accordingly, in addition to any other remedies available at law or in equity, IGC shall be entitled to seek immediate injunctive or other equitable relief in any court of competent jurisdiction to prevent, stop, remove, or require the takedown of such use, without the necessity of posting a bond or other security, and without prejudice to any other rights or remedies IGC may have.

 

21. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to these Terms or the Toolkit (including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of Texas, without giving effect to any choice-of-law or conflict-of-law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Austin, Texas, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

 

22. Attorneys’ Fees

If IGC brings any action or proceeding arising out of or relating to these Terms or the Toolkit, including to enforce these Terms, stop unauthorized use of the Toolkit, prevent misuse of the IGC Marks, or obtain injunctive or other equitable relief, and IGC substantially prevails, IGC shall be entitled to recover its reasonable attorneys’ fees and costs, in addition to any other relief awarded, to the fullest extent permitted by applicable law.

 

23. Waiver, Severability, and Entire Agreement

No waiver by IGC of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. Any failure by IGC to assert a right under these Terms shall not constitute a waiver of such right.

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.

These Terms constitute the entire agreement between you and IGC with respect to the Toolkit and supersede all prior and contemporaneous understandings, agreements, representations, and warranties regarding the Toolkit.
